Introduction

Migadales was registered in 2008 and has assisted various small businesses with management and accounting services, across a diverse spectrum of activities.

Leslie Fivaz, the Managing Member, is a highly experienced Business Manager, having held senior financial positions at a number of large commercial business (Ricoh SA, Malbak Motor Holdings, Wheels of Africa), and having just completed almost 5 years as CFO of ALW Estates, a Property Management and Development Company.

Property Managing Agent Services

Accounting

  • Assist with Annual Budgeting; including the compilation of the 10 year Maintenance Plan.
  • Maintain full and proper accounting records, utilizing a reputable accounting software package.
  • Compile and distribute Monthly Management Accounts: Income Statement, Balance Sheet, Cash Flow, Debtor & Supplier Age Analysis, and Maintenance Schedules.
  • Assist External Auditors with the preparation of the Annual Financial Statements. (External Auditor fees are not included in the Managing Agent’s fees; these are agreed to annually by the Trustees and budgeted for accordingly).
  • Payment of Supplier/Service Providers. Either:
    1. We prepare the documentation and submit to the authorized Trustees to effect/release payments, or/(and)
    2. We are given access to the Bank Account and effect payment on behalf of the Trustees.
  • Arrange for the monthly water and electricity meter readings. Council Accounts will be reconciled monthly with actual readings.
  • Produce and send out Monthly Owner/Tenant Statements, and follow up on payments. Billing will be completed within 5 days of finalization of meter readings.
  • Continuous Monitoring and Reconciliation of Bank Statements.
  • Assist with and ensure that any SARS Tax Returns and Payments are attended to timeously.

Insurance

  • Assist with the renewal of annual insurance: Fidelity, Common Property, and any other.
  • Assist with the submission of insurance claims.
  • Assist with revaluations if/when required.

Statutory Compliance

  • Advise on compliance with applicable legislation: STSM Act, CSOS Act.
  • Assist with submission of Annual Statutory Returns: CIPC, other.

Levy Clearance Certificates

  • Assist with Levy Clearance Certificates.

Conduct and Management Rules

  • Advise on Conduct Rules and Management Rules.
  • Assist with any actions required for non-compliance; including legal process if necessary.

 

Secretarial Services

  • Arrange and attend AGM’s, SGM’s, and Trustee Meetings; and compile Minutes for same.
  • Attend to statutory changes to Company information.
  • Maintaining the Statutory Registers and Minute Books.
  • Assist with appointment/resignation of Trustees/Directors, Public Officers, Auditors.

Maintenance

  • Assist with maintenance issues: obtaining quotes, securing approvals, placement of orders.
  • Assist with management of Garden Services; internal and/or external. 

Payroll/HR

  • Assist with any salary payments; submission of UIF, PAYE, insurance returns/payments.
  • Assist with disciplinary issues.

Security

  • Assist with assessment of Security service delivery and related needs.

Managing Agent Fees

  • A negotiable Once-Off Take On fee will be payable to the Managing Agent.
  • A Base Flat Fee to cover services rendered will be negotiated.
  • A Stationery Fee will be billed to recover printing, binding, and any other stationery expenses incurred by the Managing Agent; supporting paperwork/calculations will be provided.
  • Any legal expenses/fees incurred by the Managing Agent on attending to outstanding billing issues will be fully recoverable.
  • Travelling Expenses, at the official SARS Rate, will be charged by the Managing Agent for the attendance of any Trustee Meetings in excess of 4 meetings per annum and for travel to site visits in excess of 2 per month; and for any extra-ordinary call-outs to site.
  • A fee will be charged for the assistance with the issue of Levy Clearance Certificates.

Any other “out-of-pocket” expenses incurred on behalf of The Scheme will be recoverable.
